SKILLVAULT TERMS OF SERVICE Effective Date: [29-05-2026] Please read these Terms of Service ("Terms") carefully before accessing or using the Skill Vault website, platform, product interfaces, applications, demonstrations, prototypes, or any related content (collectively referred to as the "Platform"), operated by SkillBridge Ventures ("Skill Vault", "we", "us", or "our"). By accessing, browsing, registering on, or using this Platform in any manner, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service, along with our Privacy Policy and Disclaimer, which are incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue your use of the Platform. Skill Vault reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Platform following any such changes constitutes your acceptance of the revised Terms.

The Skill Vault Platform is currently in a pre-release, prototype, demonstration, and testing phase only. It is not currently intended for commercial use and does not constitute a live or fully operational product offering. The Platform is being made available solely for: a) Demonstration and evaluation purposes; b) Concept validation and user experience review; c) Internal assessment and development testing; d) Prototype illustration and feedback gathering. All features, functionalities, content, programs, pricing, and representations currently displayed on the Platform are indicative of intended future functionality and remain subject to change without notice. Users acknowledge and accept that the Platform in its current form is not a finished commercial product. 3.1 Eligibility To access and use the Platform, you must: a) Be at least 18 years of age or the age of majority in your jurisdiction; b) Have the legal capacity to enter into binding agreements; c) Not be prohibited from using the Platform under applicable laws. 3.2 Account Registration Certain features of the Platform may require you to register for an account. When registering, you agree to: a) Provide accurate, current, and complete information; b) Maintain and promptly update your account information; c) Keep your login credentials confidential and secure; d) Notify Skill Vault immediately of any unauthorized use of your account; e) Accept responsibility for all activities that occur under your account. 3.3 Account Termination Skill Vault reserves the right to suspend or terminate your account at any time, with or without notice, for any reason including but not limited to violation of these Terms.

As a user of the Platform, you are solely responsible for: a) All content, data, and information you submit, upload, or share on the Platform; b) Ensuring that your use of the Platform complies with all applicable laws and regulations; c) Maintaining the confidentiality of your account credentials; d) All activities conducted through your account; e) Obtaining any necessary consents before sharing third-party personal information on the Platform; f) Ensuring that any content you submit does not infringe upon the intellectual property rights, privacy rights, or other legal rights of any third party; g) Using the Platform only for lawful, legitimate, and authorised purposes. You acknowledge that Skill Vault is not responsible for any loss or damage arising from your failure to comply with these responsibilities.

5.1 Permitted Use You may use the Platform solely for lawful purposes and in accordance with these Terms. The Platform is provided for demonstration, evaluation, and development purposes only in its current form. 5.2 Prohibited Activities You agree not to use the Platform to: a) Violate any applicable local, national, or international law or regulation; b) Transmit any unsolicited or unauthorised advertising or promotional material; c) Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity; d) Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform; e) Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; f) Attempt to gain unauthorised access to any portion of the Platform or any other systems or networks connected to the Platform; g) Use any automated means, including robots, scrapers, or data mining tools, to access, collect, or extract data from the Platform; h) Introduce any viruses, trojans, worms, or other malicious or technologically harmful material; i) Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform; j) Use the Platform in any manner that could damage, disable, overburden, or impair the Platform or its servers; k) Circumvent, disable, or otherwise interfere with security-related features of the Platform; l) Use the Platform for any commercial purpose without the express written consent of Skill Vault. 5.3 Consequences of Violation Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Platform, and may expose you to civil or criminal liability.

The Skill Vault Platform, in its present form, is not intended to facilitate or enable any actual commercial transaction, purchase, sale, subscription, enrolment, licensing, payment processing, or delivery of educational programs, courses, mentorship services, learning content, or related services. Any references to pricing, subscription fees, payment structures, promotional offers, packages, discounts, or commercial terms currently displayed on the Platform are purely illustrative and are shown solely for demonstration purposes. No content currently displayed on the Platform should be interpreted as an offer, solicitation, commitment, or invitation to purchase any product or service. Skill Vault shall not be liable for any actions taken by users in reliance upon any such illustrative commercial content.

7.1 Ownership All content on the Skill Vault Platform, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, and the overall design and compilation of the Platform, is the property of Skill Vault or its content suppliers and is protected by applicable intellectual property laws, including copyright, trademark, and related rights. 7.2 Limited Licence Subject to these Terms, Skill Vault grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purposes described herein. This licence does not include the right to: a) Reproduce, distribute, or publicly display any content from the Platform; b) Modify or create derivative works based on Platform content; c) Use any data mining, robots, or similar data gathering or extraction methods; d) Download or copy account information for the benefit of any third party. 7.3 User-Submitted Content By submitting any content to the Platform, you grant Skill Vault a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, adapt, publish, and display such content for the purposes of operating and improving the Platform. 7.4 Trademark Notice The name "Skill Vault", associated logos, brand elements, and related identifiers are subject to our Trademark Disclaimer as set out in our Disclaimer. Unauthorised use of any Skill Vault trademarks is strictly prohibited.

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and processing of your personal data as described in our Privacy Policy. Skill Vault is committed to protecting your personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable, and the Information Technology Act, 2000 and its amendments in India. You acknowledge that: a) Skill Vault may collect and process personal data you provide during registration and use of the Platform; b) Such data may be used to improve the Platform, communicate with you, and for other purposes described in the Privacy Policy; c) You have the right to access, correct, or request deletion of your personal data as described in the Privacy Policy. 9.1 Platform Availability Skill Vault does not warrant that the Platform will be uninterrupted, timely, secure, or error-free. The Platform is provided on an "as-is" and "as-available" basis, particularly given its current pre-release development status. 9.2 Modifications and Discontinuation Skill Vault reserves the right, at its sole discretion and without prior notice, to: a) Modify, update, or discontinue any feature, functionality, or aspect of the Platform; b) Temporarily or permanently suspend access to the Platform or any part thereof; c) Change, remove, or replace any content, programs, or materials displayed on the Platform; d) Alter pricing structures, subscription models, or commercial terms at any time. 9.3 Technical Limitations The Platform may experience downtime, technical errors, or performance issues. Skill Vault shall not be liable for any loss or damage arising from such technical limitations, interruptions, or unavailability. 9.4 Third-Party Services The Platform may integrate with or link to third-party services, websites, or applications. Skill Vault does not control and is not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

THE PLATFORM AND ALL INFORMATION, MATERIALS, AND CONTENT DISPLAYED THEREIN ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKILL VAULT EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO: a) Accuracy, completeness, or reliability of any content or information; b) Uninterrupted or error-free availability or operation of the Platform; c) Fitness for any particular purpose or suitability for your specific needs; d) Merchantability or satisfactory quality; e) Non-infringement of third-party intellectual property rights; f) Freedom from viruses, malware, or other harmful components; g) The accuracy or reliability of any AI-generated content displayed on the Platform. Skill Vault does not warrant that the Platform will meet your requirements or that any errors will be corrected. No advice or information, whether oral or written, obtained from Skill Vault or through the Platform shall create any warranty not expressly stated in these Terms. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKILL VAULT, ITS PROMOTERS, DIRECTORS, EMPLOYEES, DEVELOPERS, CONSULTANTS, AFFILIATES, CONTRACTORS, OR REPRESENTATIVES BE LIABLE FOR ANY: a) Direct, indirect, incidental, consequential, special, punitive, or exemplary damages; b) Loss of profits, revenue, data, goodwill, or business opportunities; c) Damages arising from your access to, use of, or inability to use the Platform; d) Damages arising from reliance upon any content displayed on the Platform; e) Damages arising from unauthorised access to or alteration of your data; f) Damages arising from any third-party conduct or content on the Platform; g) Damages arising from any errors, omissions, or inaccuracies in Platform content. This limitation of liability applies regardless of the legal theory under which such damages are sought, including contract, tort, negligence, strict liability, or otherwise, and even if Skill Vault has been advised of the possibility of such damages. Users access and use the Platform entirely at their own discretion and risk. Where applicable law does not permit the exclusion or limitation of certain warranties or liabilities, Skill Vault's liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Skill Vault, SkillBridge Ventures, and their respective promoters, directors, officers, employees, agents, contractors, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: a) Your use of or access to the Platform; b) Your violation of these Terms of Service; c) Your violation of any applicable law or regulation; d) Your violation of any third-party rights, including intellectual property rights or privacy rights; e) Any content you submit, post, or transmit through the Platform; f) Any misrepresentation made by you. This indemnification obligation shall survive the termination of your use of the Platform and these Terms.

The Platform may contain links to external websites, third-party content, or references to third-party resources that are not owned or controlled by Skill Vault. Skill Vault has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not endorse, warrant, or guarantee the offerings of any third-party entities or their websites. We strongly advise you to read the terms and conditions and privacy policy of any third-party website that you visit. If any person or organisation believes that content appearing on the Platform may affect or infringe their intellectual property rights, proprietary rights, or legal interests, they may notify Skill Vault through the contact details provided on the Platform. Upon receipt of a legitimate claim, reasonable efforts will be undertaken to review the matter and take appropriate corrective action.

14.1 Termination by Skill Vault Skill Vault reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, including but not limited to cases where: a) You have violated these Terms of Service; b) Your use of the Platform poses a risk to Skill Vault or other users; c) Skill Vault decides to discontinue the Platform or any part thereof. 14.2 Effect of Termination Upon termination of your access: a) Your right to use the Platform will immediately cease; b) Skill Vault may delete your account and associated data in accordance with the Privacy Policy; c) Provisions of these Terms that by their nature should survive termination shall continue to apply, including intellectual property rights, disclaimers, limitations of liability, and indemnification obligations. 14.3 Termination by User You may terminate your use of the Platform at any time by discontinuing access and, where applicable, requesting deletion of your account.

15.1 Governing Law These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. 15.2 Jurisdiction Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in [City], India. 15.3 Dispute Resolution In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Platform, the parties shall first attempt to resolve the matter through good-faith negotiation. 16.1 Entire Agreement These Terms of Service, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and Skill Vault with respect to your use of the Platform and supersede all prior agreements, understandings, and representations. 16.2 Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. 16.3 Waiver The failure of Skill Vault to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 16.4 Assignment You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Skill Vault. Skill Vault may assign its rights and obligations under these Terms without restriction. 16.5 Notices Any notices or communications under these Terms shall be in writing and delivered to the contact details provided below. 16.6 Force Majeure Skill Vault shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, governmental actions, or technical failures. 16.7 Modifications to Terms Skill Vault reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform following the posting of changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
